By creating an account or using LedgerMatters ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a law firm or other organization, you represent that you have authority to bind that entity to these Terms.
LedgerMatters is a cloud-based legal practice management platform that provides case management, document management, time tracking, invoicing, trust accounting, client portal, and AI-assisted features for solo attorneys and small law firms. The Service is a practice management tool and does not provide legal advice.
You own your data. All client information, case files, documents, notes, billing records, and other content you upload or create on LedgerMatters ("Your Data") remains your property. We claim no ownership rights over Your Data.
You grant us a limited license to host, store, process, and transmit Your Data solely to operate and provide the Service.
We acknowledge that Your Data may include information protected by attorney-client privilege, work product doctrine, or other legal protections. We treat all Your Data as confidential and will not access, use, or disclose it except as necessary to provide the Service, as authorized by you, or as required by law.

We strive to maintain high availability but do not guarantee uninterrupted access. We are not liable for service interruptions due to circumstances beyond our reasonable control.
You may export Your Data at any time in standard formats (CSV, PDF, JSON). Upon account termination, you will have 30 days to export Your Data before it is permanently deleted.
To the maximum extent permitted by law, LedgerMatters's total liability is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify and hold harmless LedgerMatters from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
Either party may terminate this agreement at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, Sections 4, 5, 12, and 13 survive.
These Terms are governed by the laws of the State of California. Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association.
We may update these Terms from time to time. We will notify you of material changes via email at least 30 days before they take effect.
