By creating an account or using LedgerMatters ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a law firm or other organization, you represent that you have authority to bind that entity to these Terms.
LedgerMatters is a cloud-based legal practice management platform designed for solo attorneys and small law firms. The Service is a practice management tool and does not provide legal advice.
Features available today include client and matter management, intake and conflict-check tooling, time and expense tracking, billing and invoicing with online payments via Stripe, IOLTA trust accounting with three-way reconciliation, audit logging, legal calendaring with deadlines, and statute-of-limitations lookup tooling (SOL Guardian).
Features currently in beta — labeled BETA on our marketing site — include document and file management, AI-assisted drafting and case analysis, workflow automation, and the client portal. Beta features may change without notice and should be relied on only after they appear in the changelog as generally available. Online billing and the Solo subscription are described in Section 7 below.
You own your data. All client information, case files, documents, notes, billing records, and other content you upload or create on LedgerMatters ("Your Data") remains your property. We claim no ownership rights over Your Data.
You grant us a limited license to host, store, process, and transmit Your Data solely to operate and provide the Service.
We acknowledge that Your Data may include information protected by attorney-client privilege, work product doctrine, or other legal protections. We treat all Your Data as confidential and will not access, use, or disclose it except as necessary to provide the Service, as authorized by you, or as required by law.
Important Notice Regarding AI Features
Plans and pricing. LedgerMatters offers a Solo plan at $49 per month, billed monthly in advance. Pricing is shown in U.S. dollars and is subject to change with at least 30 days' notice for existing paid subscribers.
Free trial. New subscribers may start a 14-day free trial without providing a payment method. At the end of the trial, your subscription will be canceled automatically unless you have added a valid payment method in the billing portal.
Billing. When you start a paid subscription, you authorize us, through our payment processor Stripe, to charge your designated payment method on a recurring monthly basis at the plan price then in effect. Subscriptions renew automatically at the end of each billing period.
Cancellation. You may cancel your subscription at any time from Settings > Billing > Manage subscription. Cancellation takes effect at the end of the current billing period; you retain access until that date. We do not refund partial months, but you may continue using paid features through the end of any period you have already paid for.
Failed payments. If a charge fails, Stripe may automatically retry over the following days. If payment cannot be collected, your account will be downgraded to the free tier and paid features will be disabled. Your data is preserved for at least 30 days after downgrade.
Taxes. Prices are exclusive of any applicable sales, use, or value-added taxes, which may be added at checkout based on your billing address.

We strive to maintain high availability but do not guarantee uninterrupted access. We are not liable for service interruptions due to circumstances beyond our reasonable control.
You may export Your Data at any time in standard formats (CSV, PDF, JSON). Upon account termination, you will have 30 days to export Your Data before it is permanently deleted.
To the maximum extent permitted by law, LedgerMatters's total liability is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify and hold harmless LedgerMatters from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
Either party may terminate this agreement at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, Sections 4, 5, 12, and 13 survive.
These Terms are governed by the laws of the State of California. Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association.
We may update these Terms from time to time. We will notify you of material changes via email at least 30 days before they take effect.
